Optimized Industries, LLC DBA UTV Speed (“UTV Speed”, “we”, “our”, “us”)

By purchasing products from, contracting services with, or allowing work to be performed by Optimized Industries, LLC DBA UTV Speed (“UTV Speed”), you (“Customer,” “you,” “your”) acknowledge and agree to the following terms and conditions:

AFTERMARKET MODIFICATION ACKNOWLEDGEMENT

You acknowledge that UTV Speed installs, modifies, or fabricates aftermarket parts and structural components, including but not limited to: sport cages, roll cages, roof systems, bed delete cages, doors, suspension components, mounts, brackets, and custom fabricated parts (collectively, “Products & Services”). You understand and accept that aftermarket modifications may change the center of gravity, rollover resistance, ride characteristics, performance, safety systems, and handling of your vehicle from factory specifications and may void any manufacturer’s warranty.

You understand and agree that the operation of any off-road or modified vehicle is inherently dangerous and may result in serious injury or death. You voluntarily assume all risks associated with the use, operation, and transportation of your vehicle before, during, and after modifications.

NO CERTIFIED ROPS / NO SAFETY GUARANTEE

All cages, structures, and fabricated products designed and/or installed by UTV Speed are not certified as ROPS (Roll Over Protection Structures) unless explicitly stated in writing. No product or service provided by UTV Speed can eliminate the risk of serious injury or death in the event of a crash, rollover, impact, or other accident.

INTENDED USE

Unless otherwise specified in writing, all products are intended for OFF-ROAD USE ONLY on designated OHV trails, racing venues, or private property where permitted. UTV Speed does not represent, warrant, or imply that any modified vehicle complies with local, state, or federal street-legal requirements.

CUSTOMER RESPONSIBILITY FOR INSPECTION & SAFE OPERATION

You agree that it is your sole responsibility to:

• Thoroughly inspect all work, welds, fasteners, components, and installations before operating the vehicle

• Test the vehicle and familiarize yourself with its handling and performance changes

• Perform routine safety inspections and maintenance

• Ensure all passengers use proper restraint systems and safety equipment

By taking possession of the vehicle, you acknowledge acceptance of the work as completed and assume all responsibility for its operation.

UTV Speed is not responsible for any damages, injuries, or losses arising from failure to inspect, improper use, reckless driving, excessive speed, unsafe maneuvers, impairment, stunts, racing activities, collisions, or operation beyond the driver’s abilities.

NO RELIANCE ON SELLER JUDGMENT

You acknowledge that the suitability of any product or modification is your sole responsibility. You affirm that you are not relying on UTV Speed’s judgment for the safety, suitability, or fitness of any product for your intended use, whether express or implied.

DISCLAIMER OF WARRANTIES

All products and services are provided “AS IS” without any expressed or implied warranties, including but not limited to warranties of merchantability or fitness for a particular purpose, to the fullest extent permitted by law. Any implied warranties that cannot be disclaimed are limited to thirty (30) days from date of service.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, UTV Speed shall not be liable for any indirect, incidental, consequential, special, or punitive damages including but not limited to:

• Personal injury or death

• Property damage

• Loss of use

• Loss of profits or income

• Loss of enjoyment or trip cancellation

• Diminution in vehicle value

In all cases, the maximum liability of UTV Speed shall not exceed the total amount paid by the Customer for the specific product or service giving rise to the claim.

CUSTOMER-SUPPLIED PARTS

UTV Speed assumes no responsibility or liability for the quality, integrity, or performance of customer-supplied components. Any failures related to customer-supplied parts are the sole responsibility of the Customer.

PRICING AND TIMING

All prices and timelines are subject to change without notice due to supply chain disruptions, labor availability, material costs, weather, or unforeseen events.

STORAGE & TRANSPORT

While reasonable care is taken, UTV Speed is not responsible for loss or damage to vehicles caused by theft, vandalism, fire, acts of God, weather, accidents, or other events outside of our control while vehicles are on or off our property.

By purchasing, scheduling service, leaving a vehicle, or taking possession of any vehicle from UTV Speed, you acknowledge that you have read, understood, and voluntarily agreed to all terms above.
